Intel announced before the U.S. market opened on August 11, 2026, that it had priced an underwritten public offering of 210,526,315 common shares at $95 per share. The company increased the offering from the $15 billion proposed on August 10 to $20 billion and expects approximately $19.7 billion in net proceeds before any exercise of the underwriters' option.

Intel granted the underwriters a 30-day option to buy up to 31,578,947 additional shares at the public offering price, less underwriting discounts. Those shares are separate from the 210,526,315 shares included in the announced $20 billion offering.

The estimated net proceeds deduct underwriting discounts, commissions and offering expenses payable by Intel. The estimate assumes that the underwriters do not exercise their additional-share option.
Proceeds are designated for general corporate purposes
Intel said it intends to use the net proceeds for general corporate purposes. The company listed capital expenditures and working capital as possible uses but did not allocate the money to a named factory, manufacturing process or other individual project in the pricing announcement.
The shares are being offered under Intel's shelf registration statement on Form S-3. The company said investors should review the registration statement, prospectus supplement and accompanying prospectus for the complete offering terms.

J.P. Morgan, Goldman Sachs, Morgan Stanley and Citigroup are acting as joint book-running managers. Intel also named additional book-running managers and co-managers for the transaction.
